Terms and Conditions of Auction

Read carefully our Auction Rules and Terms that apply to purchase and sale via Retrade. By participating in an auction, you have at the same time accepted and approved the applicable terms and conditions for trading at the auction.

Retrade is a privately owned auction firm that primarily mediates sales for businesses, municipalities, financial companies and bankruptcy. Retrade's purpose is to convey objects via internet auctions from these sellers (hereafter called "seller") to the highest bidder (hereafter called "buyer"). Retrade is primarily aimed at buyers who are registered with their own CVR number.

Registration of bider

To be able to bid and buy via Retrade, you must be registered. With the registration, we ensure the best possible security for payment and collection. Registration is free and without obligation for you. Only companies with valid VAT numbers and adults over the age of 18 can register on Retrade. The information is stored securely in accordance with GDPR legislation and are not accessible to unauthorized persons. As soon as you have read the conditions, accepted them and your account is approved, you will be able to bid on products for sale via Retrade. You determine your username and password when you register.

Protection of personal information

By accepting Retrade's terms, you have given permission for Retrade to use your and your company's information as described in our Privacy Policy.

Auction Rules

All items on Retrade.eu are sold at auction. It can be offered around the clock. Each auction ends at a specified time, but is extended by five minutes if a bid is submitted in the last five minutes before the specified end time.

Retrade disclaims any responsibility for damages or consequential damages that may occur to the buyer or seller due to technical errors, communication problems, etc. Retrade is also not responsible for bids not being registered or contact not being established.

Sellier

It is always the seller who is listed as the seller and thus you are responsible for the auction items. Retrade is only an intermediary party and does not act as owner or seller of auction items. Retrade does not assume the role of exporter or clearer when selling to foreign buyers.

Buyer

Submission of bids

It is only companies or persons of legal age who have reached the age of 18 who can act via Retrade on their own or on behalf of the company.

Binding bids

All bids are legally binding for the bidder. False bidding or giving orders, attempted fraud, forgery of documents and other criminal activity will be reported to the authorities and prosecuted.

There is always a buyer's fee for the winning bid (read more below under "Costs and Fees"). In addition to manual bids, you have the option of submitting automatic bids. Your maximum auto bid is not visible to other bidders. If two people submit the same bid, priority is given to the bid that was submitted first. When this happens, it is clearly visible to you in the bid history. Retrade has no responsibility if bids are not registered.

If the highest bid is lower than the reservation price

Even if the reservation price is not reached, your highest bid is legally binding for 24 hours after the end of the auction (clock). The bidder with the highest bid will be notified within 24 hours if the bid is accepted. If the seller chooses to accept the highest bid, an agreement between buyer and seller is considered concluded. The buyer will receive the payment terms on the same day by e-mail and the invoice will be available on the buyer's Retrade account.

Rejection of bid

In some auctions, Retrade can only choose to sell to businesses - private individuals cannot bid on these auctions. It will always be undisclosed at the auction on the individual auction object. Retrade has the right to reject any winning bid if the buyer does not meet the requirements set for the purchase of the individual auction object

As a general rule, vehicles are not sold to private individuals. There may also be requirements for export outside of each country or the Nordic countries. If the bidder is a person or company that does not meet these requirements, Retrade can cancel the sale.

Retrade and/or seller reserves the right to reject a bidder and cancel sale without further reason.

Closing of auctions

Retrade reserves the right to temporarily close sales at given times.

Exclusion of unscrupulous users

Retrade reserves the right to exclude unscrupulous users, delete auctions and delete bids.

The state of the objects

There is no guarantee for the condition of the auction objects, regardless of the general assessment indication they may have. If an auction item is listed with a general assessment with faults and defects, this means that the buyer should specifically expect the auction item to be in particularly poor condition. On the other hand, your failure to indicate a general assessment is not a guarantee that the auction object does not require significant repairs.

Buyers should be aware that auction items may have a general assessment even if the seller has not carried out any examination or inspection. If, for example, the item has been outside or in a shed for five years prior to sale, the seller can indicate the auction item with a general assessment May have significant faults... because it is assumed that it lacks repair even if this is not positively known and controlled.

Objects with information about errors or defects may be missing parts or have more defects than those described in the auction documentation. Complaints cannot be made about objects that have been assessed with minor or major errors in the general assessment, unless it is a consumer purchase with an inalienable right of complaint.

Cars and vans with a permissible total weight up to 3,500 kg and which are sold with a purchase price of less than 50,000 kr are generally considered to be defective to a greater or lesser degree.

Warranty

There is no guarantee on the purchased auction items.

Costs and Fees

At most auctions, a buyer's fee is added to the submitted bid. The buyer's fee can vary in size depending on the individual situation and is clearly shown on the bid confirmation when you submit your bid. Payment costs of DKK 250- excl. VAT is added to each invoice. When you buy an auction item, you must pay both the price of the auction item (købssummen), the buyer's fee and the payment costs.

VAT

All bid prices excl. VAT unless otherwise specifically stated. If the buyer and seller are registered in the same country, the usual VAT is applied. Companies with a valid VAT number that are registered in a different country than the seller are invoiced without local VAT. Export must be documented.

Payment

Products purchased from Retrade are paid for by invoice. When the payment is registered, the Buyer and Seller receive confirmation of delivery pr. email. Upon presentation of the delivery confirmation, the buyer can collect the purchased item.

When an auction has ended and your winning bid has been registered, you will receive a confirmation from Retrade by e-mail. You will receive the payment details by e-mail and your invoice will be available on your Retrade account.

If you do not pay within the specified payment period of 5 days, this is considered a breach of the agreement according to Retrade's terms and conditions and the transaction will be canceled without notice.

Cancellation of the order means that you are obliged to pay compensation of 10% to cover the costs of a normal trade. Minimum 1500 kr. excluding VAT.

In case of late or non-existent payment, the buyer is therefore liable for the payment of both normal loss compensation and buyer's fees as well as any liability according to the general rules of the seller country law on damages. In case of late or non-existent payment, the item can be sold again at a new auction.

Approval of purchased items

All auction items on Retrade are sold as is. There may be errors and omissions on the objects as they are often used. As a buyer, you have an extensive investigation duty. This means that upon collection you must examine and approve the object's condition in relation to the auction material. Normally, physical inspection of items during the auction is not offered. If there are exceptions, it appears in the auction description.

The seller can only be held responsible for errors that the buyer discovers and expressly points out upon collection. The buyer has approved the object when it leaves the seller's property. This also applies if there is a freight forwarder or other representative of the buyer who picks up the item.

The seller is also not responsible for errors that occur during reading and after collection. All liability is disclaimed for defects in objects or property sold via curators or in other compulsory sales.

Freight and collection

All products purchased via Retrade must be paid for before collection. When the payment is registered, Retrade will send Buyer and Seller a delivery confirmation with information on where the item can be picked up and who to contact. The buyer is obliged to immediately contact the seller to arrange a time and place for collection of the object.

If you have questions, Retrade is available by phone and e-mail during office hours. Unless otherwise stated, the buyer is responsible for collection, loading and eventual dismantling of the object. The buyer must pay all expenses in connection with the above as well as shipping and collection. This also applies in case of cancellation of the purchase.

Buyer is encouraged to insure the object as soon as he receives notification of its location. The object is at the seller's expense and risk until the buyer and seller have agreed on collection.

Please note that dimensions are approximate and there may be deviations. Make sure that the transport vehicle is sized for the item to be picked up.

If the buyer and seller do not agree on collection, responsibility for the object passes to the buyer on the 21st day after the auction end date. Neither Retrade nor the seller has any responsibility for any deterioration in the condition of auction items that are not picked up on time.

The deadline for collection is 21 days. After that, the seller can claim to have additional costs covered as a result of late collection. If the object is not collected within 30 days, this is considered a breach of the agreement.

Retrade can choose one or more of the following in case of non-compliance with collection conditions:

Move the auction item to one of Retrade's locations. The auction item is moved at the buyer's expense and risk and the buyer must pay to have the item delivered to Retrade's location.

Invoice space rental kr 500- excl. VAT per started week per auction item.

Scrap the auction item and demanded compensation from the buyer for disposal costs and other losses.

The object will be put up for a new auction without notice. Your first winning bid under NOK / SEK 30,000, DKK 25 000 + VAT has no claim on the buyer for a refund or other compensation. The sales sum at the new auction must first cover the costs of the Seller and Retrade - including but not limited to storage, handling, administration and the like. Any excess amount will be returned to the original buyer.

If the seller cannot make it possible for the buyer to pick up the auction item within 21 days

the buyer is entitled to either demand performance or cancel the agreement. The seller is not obliged to fulfill the purchase if there is an insurmountable obstacle or if fulfillment would entail difficulties or costs that are not reasonable in relation to the buyer's interest in the seller fulfilling the purchase. In the event of justified cancellation, the buyer is entitled to a refund of the amount paid to Retrade. Buyer is always obliged to take reasonable measures to prevent or minimize loss or damage.

Buyers must expect that auction items can in some cases be sold at particularly favorable prices because it would be particularly expensive for the seller to pay for disposal. Disposal costs can therefore in certain cases exceed the purchase price and the buyer accepts this.

EU sales and exports

Foreign buyers are obliged to export the auction goods. Transport and collection of the purchased item must be carried out by a transport agent/forwarder who must bring CMR documents with them when collecting.

Upon arrival in the buyer's country, documentation on the received item is sent to Retrade email: support@retrade.eu.

At the request of Retrade, you are obliged to provide proof of export which clearly shows that the auction goods have been exported.

A buyer registered outside Denmark, Sweden and Finland buying in these countries always receive an invoice without VAT unless otherwise stated. Purchases from Norway are always invoiced with VAT, which will be refunded after export is documented. It is important that you pay the full amount. Private individuals can only register in Norway, Sweden and Denmark and only bid on goods from their own home country.

For EU sales, Retrade has brug for following:
  • Retrade signed buyer statement.
  • Copy of CMR delivered to the seller upon collection.
  • CMR consignment note stamped by both sender and receiver.
  • Your company's IBAN and Swift number.

If you trade outside the EU and therefore export from the EU, Retrade and Seller also need a copy of the customs document.

Right of withdrawal for private buyers in Denmark and Sweden

Companies have no right of withdrawal. All bids are binding. For private consumers, a 14-day right of withdrawal applies according to Danish and Swedish law. The 14-day right of withdrawal applies from the moment the consumer comes into possession of the auction item. For more information we refer to the terms in each local language.

The auction object must not be altered, repaired or have damage that was not there when collected from the Seller. If you as a consumer wish to make use of your right of withdrawal, you must contact Retrade at support@Retrade.eu to receive further instructions regarding the return. All returns must be made to Retrade's nearest logistics center.

Termination of customer relationship

Retrade reserves the right to deactivate a buyer account without further justification. Retrade must ensure that all auctions are conducted morally correctly and that the person who bids for you is sure that other submitted bids are real. We can therefore not continue the customer relationship if there is a pattern that indicates that submitted bids are not real. This also applies to joint ventures that limit the competitive situation.

Complaint

Complaints must be reported in writing to support@Retrade.eu. Complaints must be made BEFORE the buyer has transported the auction object away from the collection site. As a buyer, you have a duty to investigate upon collection of the auction item. The buyer automatically approves the product and the handle upon collection. This also applies if the product is picked up by a third party. Businesses cannot send a complaint after collection.

Retrade only conveys the auction goods and is therefore not a party to a complaint case. Retrade can receive complaints regarding liability for defects in sales items. Retrade can also convey information between buyer and seller with a view to reaching an agreement. You are not a legal representative for either the seller or the buyer.

The product is sold as is except for consumer purchases. There will only be a visual inspection as well as testing and testing if this is not stated in the individual auction. During tests and trials, a general functional test and visual inspection are carried out. Comprehensive tests or inspections are not carried out, therefore it cannot be guaranteed that the auction object meets all the specific requirements and technical specifications that apply to the auction object.

If, for whatever reason, the seller is unable to deliver the auction item, the buyer waives the right to make a cover purchase. The buyer is only entitled to a refund of the full auction bid. Possibly cancellation of the transaction or price rejection is directly between the seller and the buyer and you are thus Retrade unusable.

Retrade or Retrade's partners are not liable to the buyer or to any third party for loss of data, profit, revenue, or turnover, regardless of how the damage or loss occurred.

If the buyer and seller reach an agreement to cancel a trade on an auction item that has already been picked up, the buyer is responsible for the transport costs of return.

Retrade and the seller must always be notified before any repairs are carried out. Any cost estimates must always be approved by Retrade and Seller in advance. The buyer is not entitled to compensation if the repair is carried out before approval is given.

Since auction objects are in some cases only collected a long time after they have last been used, battery capacity/functionality cannot be guaranteed, brakes, electrical faults etc. are fixed. as well as errors that are a direct result of the auction item standing still.

Technical and manual errors

Retrade reserves the right for printing and typing errors on the website. It cannot be guaranteed that the images accurately represent the items being sold. Retrade has the right to reject sales in the entire sales process and disregard bids. Retrade also has the right to decide whether bids should be repeated due to technical problems, typographical errors or other reasons. Retrade does not assume responsibility for any damages, consequential damages or costs that may be incurred by the bidder or the bidder's client due to the above or if the bid has not been registered, problems with the internet computer, etc.


Retrade's liability

To the extent that the law permits, you release Retrade, its agents and employees from all liability arising out of, or in connection with any Listing or, Transaction, including (without limitation) all claims and demands relating to listings, uncompleted or completed transactions, or items offered for sale or supply, or actually sold and supplied, through or in connection with any listing or transaction.

Retrade shall not be liable for any failure to perform its obligations under this agreement caused by matters beyond reasonable control.

We will not be liable to you or any third party for any indirect or consequential loss or damage, or for any loss of data, profit, revenue or business, howsoever caused (whether arising out of any negligence or breach of this agreement or otherwise).

You agree to indemnify Retrade against all liabilities, claims and expenses that may arise from any breach of this agreement by you or through your Retrade account.

Sanctioned countries, companies and persons

We reserve the right to refuse trade with countries, companies and private individuals covered by the current sanctions list maintained by the Ministry of Foreign Affairs.

Choice of law and venue if disputes

Any dispute or any claim that may arise in connection with these terms and conditions or the use of Retrade's online auctions in general, including disputes regarding the existence, breach, termination or invalidity of the terms, can be brought by each party before the ordinary courts in each selling country.

In the event that any provision in the current agreement should prove to be invalid or unenforceable due to a court order or judgment, the remaining provisions in the agreement are still considered valid and enforceable.

SPECIAL TERMS FOR TRADE IN:DENMARK:

Applicable from 01.01.2015 tax documentation is required for exports from Denmark and to the buyer's home country. This documentation can only be provided by using an independent freight agent in connection with the collection of the purchased item. This freight agent must hand over a copy of the consignment note to the seller upon collection, see instructions under the section EU sales and export.

NORWAY:

Norwegian VAT must be paid on all purchases with the exception of registered vehicles. The VAT can be refunded by the seller if sufficient export documentation is available. This does not apply to purchases from Equinor - the buyer must seek a refund from the Norwegian authorities.
